These Terms of Use are a binding agreement between you and us, 

governing your use of the app. By downloading, opening,

or using the app, you accept these terms. If you do not accept them, delete the

app and do not use it. Your use of Premsys is also governed by Apple's Licensed Application End User

License Agreement, available at:

Where these terms add obligations beyond that agreement, both apply. Where they

genuinely conflict, Apple's standard agreement controls for the subjects it

covers.

1. WHAT THE PREMSYS APP IS

The Premsys App is a personal AI assistant that runs language models directly on your

device. It can hold conversations, read documents and media you provide,

summarize your calendar, reminders, and Health data, generate documents, and, 

if you enable it, search the public web.

Premsys is a tool. It is not a person, not a professional advisor, and not a

supervisory service. It does not monitor you, and we cannot see what you do

with it.

2. ELIGIBILITY

You must be at least 13 years old, and at least the age of digital consent in

your country, to use Premsys. If you are under 18, you may use Premsys only

with the permission and supervision of a parent or legal guardian, who accepts

these terms on your behalf and is responsible for your use. Observe the app's

App Store age rating. Parents and guardians can restrict access using Screen

Time and Content & Privacy Restrictions on the device.

You must not use Premsys if you are barred from doing so under applicable law,

including U.S. export control and sanctions law (see Section 13).

3. LICENSE

Subject to these terms, we grant you a personal, limited, non-exclusive,

non-transferable, revocable license to use Premsys on Apple-branded devices

that you own or control, as permitted by the App Store Usage Rules. Premsys is

licensed to you, not sold.

You may not: copy, redistribute, sublicense, rent, lease, or resell the app;

modify, decompile, disassemble, or reverse engineer it, except to the extent

that applicable law expressly prohibits that restriction; remove proprietary

notices; extract or redistribute bundled assets; or use the app to build a

competing product.

You may not use the app, its search relay, or its model download paths in an

automated, scripted, or bulk manner, or attempt to bypass rate limits, the free

search allowance, subscription checks, or any other technical limit.

4. ACCEPTABLE USE — READ THIS SECTION

4.1 PRIVACY IS A PROTECTION, NOT A PERMISSION

Premsys processes your content on your own device. We do not see your prompts,

we do not store your conversations, and we have no ability to inspect, monitor,

moderate, or audit what you do inside the app.

Understand precisely what that means. It is a privacy guarantee to you. It is

not permission, it is not an endorsement, and it is not a shield.

You are fully and personally responsible — legally, civilly, and criminally —

for every prompt you write, every file you feed the app, and every output you

create, keep, or distribute with it. The law applies to what happens on your

device. Laws against creating and possessing certain material apply to

creation and possession, on your own hardware, whether or not anything is ever

transmitted, uploaded, published, or seen by another human being.

Do not mistake the absence of monitoring for the absence of consequences. It

means only that no one is standing between you and the law. We cannot warn you,

we cannot stop you, and we cannot help you. Local, private, and offline change

nothing about what is legal.

By using Premsys you affirm that you will not use its privacy properties as

cover for conduct you would not engage in on a monitored service.

4.2 PROHIBITED USES

You may not use Premsys — including its models, its knowledge library, its

document generation, its device tools, or its web search — to request,

generate, process, refine, translate, store, index, organize, or distribute any

of the following. This applies equally to text, images, video, audio,

documents, and code, and equally whether the material is created by the model,

supplied by you, or extracted from a file you import.

(a) CHILD SEXUAL ABUSE MATERIAL. Absolutely prohibited without exception:

any sexual or sexualized content involving a minor, or any person

depicted, described, or implied to be a minor. This includes fictional,

written, drawn, animated, generated, or "aged-up" depictions; sexualized

imagery derived from photographs of real children; and any attempt to

have the model produce, describe, complete, or classify such material.

It also includes importing such material into the knowledge library or

storing it in the app. This prohibition is absolute, it is not subject to

any claim of fiction, research, art, curiosity, testing, or private use,

and it applies with full force precisely because the processing is

local. Possession and production of this material are serious crimes in

effectively every jurisdiction. Do not do it here.

(b) NON-CONSENSUAL SEXUAL CONTENT. Sexual or nude depictions or descriptions

of a real, identifiable person created without that person's consent,

including so-called deepfakes, face swaps, "undressing" or "nudify"

requests, and sexualized manipulation of photographs of real people.

Also prohibited: sharing or generating intimate imagery of another person

without consent, and content depicting sexual violence, coercion,

trafficking, or bestiality.

(c) SEXUAL CONTENT INVOLVING NON-CONSENTING OR UNLAWFUL SUBJECTS generally,

and any sexual content prohibited by the law that applies to you.

(d) HARASSMENT AND ABUSE. Stalking, doxxing, threats, sexual harassment,

targeted intimidation, coordinated abuse, or content designed to

humiliate or endanger a specific person.

(e) HATE AND INCITEMENT. Content that promotes or incites violence, hatred,

or dehumanization against people on the basis of race, ethnicity,

national origin, religion, disability, sex, gender identity, sexual

orientation, age, or other protected characteristics.

(f) VIOLENCE, WEAPONS, AND TERRORISM. Instructions or assistance for

producing weapons, explosives, or chemical, biological, radiological, or

nuclear materials; planning attacks; evading law enforcement in the

commission of a violent crime; or supporting a terrorist or violent

extremist organization.

(g) SELF-HARM. Encouraging, instructing, or assisting suicide, self-injury,

or disordered eating. If you are in crisis, contact your local emergency

number, or in the United States call or text 988.

(h) CRIME, FRAUD, AND DECEPTION. Fraud, scams, phishing, identity theft,

money laundering, forged or counterfeit identification, financial

instruments, credentials, or official documents; impersonating a real

person or organization; and generating content intended to deceive

others to their harm.

(i) MALICIOUS COMPUTING. Creating malware, ransomware, spyware, or exploit

code for unauthorized intrusion; circumventing security controls,

authentication, licensing, or technical protection measures; or

unauthorized access to systems, accounts, or data.

(j) CONTROLLED SUBSTANCES AND TRAFFICKING. Synthesis routes, sourcing, or

distribution guidance for illegal drugs, and any facilitation of human

trafficking or exploitation.

(k) UNLAWFUL DATA. Importing, indexing, or processing material you have no

lawful right to possess — including stolen data, breach dumps, and

personal data of other people obtained or processed without a lawful

basis or consent. If you put other people's sensitive information into

Premsys, you are the data controller for it and you are responsible for

having the right to do so.

(l) INFRINGEMENT. Reproducing, distributing, or creating derivative works

from copyrighted material, trademarks, or trade secrets in violation of

the rights of others.

(m) SAFETY CIRCUMVENTION. Deliberately attempting to defeat, disable, or

manipulate model safety behavior — through the custom system prompt,

jailbreak prompting, adversarial file contents, sampler manipulation, or

any other technique — for the purpose of producing anything listed in

this Section 4.2. Note that a custom system prompt in Premsys is capped

and does not override safety instructions; attempting to make it do so

is itself a violation of these terms.

(n) ANY OTHER USE THAT VIOLATES APPLICABLE LAW in your jurisdiction or the

jurisdiction where the content is created, stored, or received.

4.3 WHAT WE CAN AND CANNOT DO ABOUT IT

Because Premsys is local and private by design, we have no technical means to

detect a violation of Section 4.2, and we do not attempt to. There is no

content scanning, no server-side moderation, and no reporting pipeline that

sends your content to us.

That does not create a safe harbor for you. It means the only entities that

will ever act on prohibited conduct are law enforcement, courts, Apple, and any

person you harm. We may terminate your license and, where a violation comes to

our attention through lawful means, we may report it and cooperate with lawful

requests from authorities.

You agree that violating Section 4.2 is a material breach of these terms, that

your license terminates automatically upon such a breach, and that you have no

claim against us arising from your own prohibited use.

4.4 REPORTING CONCERNS

If Premsys produces output you believe is unsafe, unlawful, or seriously

objectionable, please tell us at devops@premsys.ai with a description of the

prompt and the behavior. We cannot see your content, so a report from you is

the only way we learn of a problem. Reports help us adjust prompting, safety

guidance, and model selection in future releases. If you encounter content

that constitutes a crime, report it to law enforcement.

5. YOUR CONTENT AND YOUR OUTPUT

You retain all rights in the content you put into Premsys and, as between you

and us, in the output Premsys generates for you on your device. We claim no

ownership license over either, and we could not exercise one if we did — your

content never reaches us.

You are responsible for having the right to use every file, photo, recording,

and document you bring into the app.

AI output may resemble existing works and is not guaranteed to be original or

free of third-party rights. Whether AI-generated material is protectable, and

what disclosure obligations apply when you publish it, varies by jurisdiction.

Those determinations are yours to make.

6. PREMSYS PRO SUBSCRIPTION

Premsys is free to download. Premsys Pro is an optional auto-renewing

subscription sold through Apple's In-App Purchase system.

What Premsys Pro unlocks:

- The Gemma 4 E4B model, the most capable local text model in the app.

- The local document knowledge library (RAG).

- Document generation: PDF, Excel (.xlsx), and Word (.docx).

- Unlimited web search. Without Pro, Premsys includes 100 web searches per

calendar month at no charge; the counter resets at the start of each

calendar month.

Subscription options and price (U.S. App Store):

- Premsys Pro Monthly — $12.99 per month.

- Premsys Pro Annual — $99 per year.

Prices vary by App Store storefront and currency, and the current price for

your storefront is always displayed in the app before you confirm any purchase.

Billing terms:

- Payment is charged to your Apple Account at confirmation of purchase.

- The subscription renews automatically for the same period at the same

price unless auto-renew is turned off at least 24 hours before the end of

the current period.

- Your Apple Account is charged for renewal within 24 hours prior to the end

of the current period.

- You can manage your subscription and turn off auto-renew at any time in

Settings > Apple Account > Subscriptions on your device, or via the link in

the app's Settings.

- Cancelling stops future renewals. It does not retroactively refund the

current period; access continues until the end of the paid period.

- Refunds are handled by Apple under Apple's Media Services Terms and

Conditions, not by us. Request a refund at reportaproblem.apple.com.

- Prices may change. Where a price increase affects an existing subscription,

Apple will notify you and, where required, obtain your consent before the

increase takes effect.

Losing Pro access ends E4B, knowledge library, document generation, and

unlimited search. Content you already created stays on your device: previously

generated files remain readable and shareable, and your chats are untouched.

Premsys Pro unlocks features in an app that runs on your device. It is not a

service commitment, and it does not entitle you to any specific model, feature

set, or third-party service remaining available indefinitely (see Section 8).

7. DEVICE REQUIREMENTS, DOWNLOADS, AND STORAGE

Premsys requires a supported iPhone running the iOS version stated on the App

Store listing. Some features depend on device capability: Apple's on-device

Foundation Models require an Apple Intelligence-capable device, and the larger

Gemma models require substantial free storage and memory.

Optional model downloads are large — approximately 2.59 GB for Gemma 4 E2B and

3.66 GB for Gemma 4 E4B — and are downloaded from Hugging Face. You are

responsible for the storage space they consume and for any cellular data

charges your carrier applies. Downloaded models are excluded from device

backups because of their size; you can re-download them at any time.

You are responsible for backing up your own data. Deleting the app deletes

everything it holds, permanently, and we cannot recover it.

8. THIRD-PARTY SERVICES AND MODELS

Premsys integrates services and models provided by others, and your use of them

is subject to their terms in addition to these:

- Google's Gemma models. If you download Gemma 4 E2B or E4B, your use is

governed by Google's Gemma Terms of Use and the Gemma Prohibited Use

Policy, which independently prohibit much of what Section 4.2 prohibits.

- Apple Foundation Models, WeatherKit, HealthKit, Speech, Vision, EventKit,

and In-App Purchase — governed by Apple's terms.

- Brave Search, reached through the Premsys search relay when you enable web

search — governed by Brave's terms and privacy policy. Search results are

public web content that we neither author nor endorse, and their accuracy

and appropriateness are outside our control.

- Hugging Face, for optional model file downloads.

- Cloudflare, which hosts the search relay.

- File providers such as iCloud Drive, Dropbox, and Google Drive, if you

choose documents from them via Apple's Files picker.

We do not control these services and are not responsible for their

availability, content, accuracy, or practices. Any of them may change or

discontinue at any time, and a feature that depends on one may change or stop

working as a result.

9. NO PROFESSIONAL ADVICE, AND OUTPUT IS NOT RELIABLE BY DEFAULT

AI models produce plausible text. Plausible is not the same as correct. Premsys

can and will sometimes be wrong, incomplete, out of date, biased, or entirely

fabricated, including when it sounds certain and including when it cites

sources. Verify anything that matters before you act on it.

Premsys is not a medical device and does not provide medical, mental health,

legal, financial, tax, safety, or other professional advice. Health information

shown on the dashboard is a display of data you already have in Apple Health

and is not a diagnosis, assessment, or treatment recommendation. Do not use

Premsys to diagnose, treat, or make decisions about a medical condition —

consult a qualified professional.

Do not use Premsys in an emergency. Call your local emergency number.

Weather information is provided by Apple Weather. Weather data may be

inaccurate or delayed, and your use of weather guidance is at your sole risk.

Do not rely on it for safety-critical decisions.

Calendar events and reminders Premsys creates at your request may be wrong.

Check them. Do not rely on Premsys alone for time-critical commitments.

Premsys must not be used as the sole basis for any decision with legal,

financial, medical, or safety consequences, and must not be used in any

application where failure could lead to death, personal injury, or severe

property or environmental damage.

10. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PREMSYS IS PROVIDED "AS IS" AND "AS

AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY,

INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS

FOR A PARTICULAR PURPOSE, ACCURACY, QUIET ENJOYMENT, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT PREMSYS WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE,

THAT ITS OUTPUT WILL BE ACCURATE OR SUITABLE FOR ANY PURPOSE, OR THAT DEFECTS

WILL BE CORRECTED.

Some jurisdictions do not allow the exclusion of implied warranties, so parts of

this section may not apply to you. Nothing in these terms limits any

non-waivable statutory consumer right you have.

11. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PREMSYS INC. WILL NOT BE LIABLE FOR

ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE

DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS

OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF PREMSYS, WHETHER BASED

IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF

THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO PREMSYS WILL NOT

EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR PREMSYS IN THE TWELVE

MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY U.S. DOLLARS.

These limits do not apply to liability that cannot be excluded or limited under

applicable law, including liability for death or personal injury caused by

negligence, fraud, or fraudulent misrepresentation.

12. INDEMNITY

You agree to indemnify and hold harmless Premsys Inc. and its officers,

employees, and contractors from any claim, demand, loss, liability, damage, or

expense (including reasonable legal fees) arising from your use of Premsys,

your content, your violation of these terms — in particular Section 4 — or your

violation of any law or third-party right.

13. APPLE-SPECIFIC TERMS

The following apply because Premsys is distributed through the App Store:

(a) This agreement is between you and Premsys Inc. only, not with Apple.

Apple is not responsible for Premsys or its content.

(b) Premsys Inc., not Apple, is solely responsible for providing any

maintenance and support for Premsys. Apple has no obligation to furnish

maintenance or support.

(c) In the event Premsys fails to conform to any applicable warranty, you may

notify Apple, and Apple will refund the purchase price (if any) for the

app. To the maximum extent permitted by law, Apple has no other warranty

obligation whatsoever with respect to Premsys.

(d) Premsys Inc., not Apple, is responsible for addressing any claims by

you or a third party relating to Premsys or your use of it, including

product liability claims, claims that Premsys fails to conform to a legal

or regulatory requirement, and claims arising under consumer protection,

privacy, or similar legislation.

(e) Premsys Inc., not Apple, is responsible for the investigation,

defense, settlement, and discharge of any third-party claim that Premsys

or your use of it infringes that third party's intellectual property

rights.

(f) You represent and warrant that you are not located in a country subject

to a U.S. Government embargo or designated as a "terrorist supporting"

country, and that you are not listed on any U.S. Government list of

prohibited or restricted parties.

(g) You must comply with any applicable third-party terms when using Premsys

(see Section 8).

(h) Apple and Apple's subsidiaries are third-party beneficiaries of these

terms, and upon your acceptance, Apple has the right (and is deemed to

have accepted the right) to enforce these terms against you as a

third-party beneficiary.

14. TERMINATION

You may end this agreement at any time by deleting Premsys from your devices.

Your license terminates automatically if you breach these terms, and

immediately upon any violation of Section 4.2. Termination does not entitle you

to a refund except as required by law or granted by Apple, and does not limit

any other remedy available to us. Sections 4.3, 5, 9, 10, 11, 12, 13, and 15

survive termination.

15. GENERAL

Changes. We may update these terms as the app changes. The "Last updated" date

above will change, and material changes will be reflected in the app's in-app

Terms of Use before they take effect. Continuing to use Premsys after an update

means you accept the revised terms. If you do not accept them, stop using the

app and cancel any subscription.

Governing law. These terms are governed by the laws of [[JURISDICTION]],

without regard to conflict-of-laws rules, except that this choice does not

deprive you of the protection of mandatory consumer-protection laws of your

country of residence.

Severability. If any provision is held unenforceable, it will be limited or

severed to the minimum extent necessary and the remaining provisions stay in

full force.

No waiver. Our failure to enforce a provision is not a waiver of it.

Entire agreement. These terms, together with the Premsys Privacy Policy and

Apple's Licensed Application End User License Agreement, are the entire

agreement between you and us regarding Premsys.

Assignment. You may not assign these terms. We may assign them in connection

with a merger, acquisition, or sale of assets.
